3. Description of Services

Qynnex provides artificial intelligence consulting services to organisations in Malaysia and the wider Southeast Asian region. Our core offerings include:

Predictive Analytics Integration — working with your existing data sources to build forecasting models that support operational and strategic decisions.

Conversational AI Design — designing and deploying chatbot or virtual assistant solutions tailored to your customer-facing or internal workflows.

Document Intelligence Service — implementing systems that extract, classify, and organise information from unstructured documents such as invoices, contracts, and reports.

The exact scope, timeline, and deliverables of each engagement are defined in a separate project proposal or engagement letter agreed upon by both parties before work begins.

4. User Responsibilities

When using our website or engaging our services, you agree to:

Provide accurate and up-to-date information when submitting enquiries or project materials.

Use the website and our materials only for lawful purposes and in a manner consistent with all applicable Malaysian laws.

Refrain from attempting to gain unauthorised access to our systems, data, or internal networks.

5. Intellectual Property

Where custom deliverables are produced as part of a consulting engagement, the ownership and licensing terms for those deliverables will be specified in the relevant project agreement.

6. Payment Terms

Our service fees are quoted in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless stated otherwise. Specific payment terms are outlined below:

Invoicing

We issue invoices according to the milestones defined in the project proposal. Standard payment terms are 14 days from the date of invoice.

Accepted methods

We accept bank transfer (FPX or wire transfer), corporate cheque, and major credit cards. Payment details are provided on each invoice.

Late payments

Overdue invoices may be subject to a late fee of 1.5% per month on the outstanding balance. We reserve the right to suspend ongoing work until outstanding payments are settled.

Refund policy

Given the bespoke nature of our consulting engagements, refunds are handled on a case-by-case basis. If work has not yet commenced, a full refund of any advance payment will be issued upon written request. Once work has begun, refunds will be calculated based on the proportion of deliverables completed.

7. Service-Specific Terms

The following additional terms apply to our consulting services:

Project scope

All consulting engagements are governed by a project proposal that outlines scope, deliverables, timeline, and fees. Any changes to the agreed scope require a written change request approved by both parties, and may affect the project fee and timeline.

Client obligations

Timely delivery of a project depends on the client providing necessary data, access credentials, feedback, and approvals within agreed timeframes. Delays caused by the client may result in revised timelines at no additional cost to the client, though significant delays may require scope re-evaluation.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This obligation survives the termination of the agreement for a period of two years.

Post-delivery support

Each engagement includes a 30-day post-delivery support window during which we address questions, minor adjustments, and knowledge-transfer needs at no additional fee. Support beyond this period may be arranged separately.

8. Disclaimers

Our website and services are provided on an "as is" and "as available" basis. While we make every effort to ensure accuracy and reliability, Qynnex does not warrant that:

Any specific business outcomes will be achieved as a result of our consulting services — outcomes depend on numerous factors beyond our control.

9. Limitation of Liability

To the fullest extent permitted by Malaysian law, Qynnex's total liability arising from or in connection with these terms or any service engagement shall not exceed the total fees paid by you for the specific service giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, whether arising from contract, tort, or any other legal theory.

10. Indemnification

You agree to indemnify, defend, and hold harmless Qynnex, its directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these terms, misuse of our services, or violation of any applicable law.

11. Termination

Either party may terminate an active service engagement by providing 14 days' written notice to the other party. Upon termination:

You are responsible for payment of all work completed up to the effective date of termination.

We will deliver all completed and in-progress deliverables to you within 7 business days of termination.

Confidentiality obligations and limitation of liability provisions survive termination.

We reserve the right to restrict or terminate your access to the website at any time if we reasonably believe you have violated these terms.

12. Force Majeure

Neither party shall be held liable for any failure or delay in performing their obligations where such failure or delay results from circumstances beyond their reasonable control, including natural disasters, acts of government, pandemic, civil unrest, cyberattacks, power outages, or failures of third-party infrastructure. The affected party must notify the other party as soon as practicable and make reasonable efforts to mitigate the impact.

13. Dispute Resolution

These terms are governed by and construed in accordance with the laws of Malaysia. In the event of any dispute arising from these terms or your use of our services:

Step 1 — Informal resolution: Both parties agree to first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice of the dispute.

Step 2 — Mediation: If informal negotiations are unsuccessful, the dispute may be referred to mediation administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur.

Step 3 — Jurisdiction: If mediation does not resolve the matter, either party may submit the dispute to the courts of Malaysia, which shall have non-exclusive jurisdiction.

14. General Provisions

Entire agreement

These terms, along with our Privacy Policy and any project-specific agreements, constitute the entire agreement between you and Qynnex regarding the subject matter herein.

Severability

If any provision of these terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Waiver

The failure of either party to enforce any right or provision of these terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these terms or your rights hereunder without our prior written consent. Qynnex may assign its rights and obligations to a successor entity in the event of a merger, acquisition, or sale of assets.

Notices under these terms should be sent in writing to the contact details below or, for you, to the email address you provided when engaging our services.

15. Changes to These Terms

We reserve the right to update or modify these Terms & Conditions at any time. Material changes will be reflected by updating the "Last Updated" date at the top of this page.
